01About these terms
These Publisher Terms are an agreement between you and Kenoxis Technologies Private Limited (“Clickflox”, “we”, “us”). They apply when you join the Clickflox Network as a publisher: when you add a website, newsletter or channel, place the Clickflox tag on a website, or take part in a campaign. Our Terms of Service and Privacy Policy also apply to your account. Where they differ on something about the network, these terms apply.
If you join for a business, you accept these terms on its behalf and confirm that you are allowed to.
02How the arrangement works
The Clickflox Network runs on two separate agreements:
- Clickflox and advertisers. Clickflox sells its own advertising service to advertisers, at its own prices and under its own terms with them. Advertisers pay Clickflox in advance for that service.
- Clickflox and you. Separately, Clickflox buys promotion services from you: showing ads in your website’s placements, and the newsletter slots, posts and videos you agree to make in the campaign marketplace. Clickflox pays you for them at the rates published in these terms.
Each agreement is between Clickflox and one party, and each party acts on its own account. You have no agreement with any advertiser and no claim against one, and advertisers have none against you. Clickflox carries the fraud and credit risk of its deals with advertisers.
Nothing in these terms makes you and Clickflox partners, agents or employees of each other.
03Who can join
- You are at least 18, and you join as an individual or for a business.
- You live in, or your business is registered in, India or the United States. Publishers in India are paid in rupees; publishers outside India in US dollars by SWIFT, in test mode for now (see Payouts and KYC).
- You give us accurate details, including your legal name, your country and whether you are an individual or a business, and you keep them up to date.
- You have one publisher account per person or business. We check for duplicates, for example by PAN, bank account and device.
- You own or run each website, newsletter or channel you add, or have its owner’s permission to add it and to accept these terms for it.
- If you also advertise with Clickflox, your advertiser and publisher accounts stay separate, with separate money, and we check them against each other.
We may turn down an application. Where we can, we will tell you why.
04Your sites and channels: ownership and review
You can add websites, newsletters, YouTube channels, Instagram professional accounts and WhatsApp Channels. Websites show ads through the Clickflox tag. Newsletters and channels take part only in the campaign marketplace: you make each sponsored post yourself.
Proving ownership
- A website: a meta tag on its home page, a DNS TXT record on its domain, or the Clickflox line in its ads.txt file. Before a website can show paid ads, its ads.txt file must include the Clickflox line, and the line must stay there while ads show.
- A newsletter: a DNS TXT record on the domain it is sent from, or connecting the email service you send it with (read-only, with an API key).
- A YouTube channel or an Instagram professional account: signing in with Google or Instagram. Clickflox reads the channel’s statistics and posts; it can’t post for you.
- A WhatsApp Channel: its link, and a code you put in the channel’s description. Only channels can join: never WhatsApp groups or broadcast lists.
Review
Automatic checks run within minutes, and a person reviews each website, newsletter or channel within about 3 business days. For a website we check that it:
- is live, with original content and a privacy page and a contact page;
- is not parked, copied or made mainly to show ads;
- has no prohibited content (see Prohibited content and formats);
- gets its traffic mainly from people who found it themselves, not from bought traffic.
For a newsletter we look at the list’s size and whether readers click; for YouTube at subscribers, views and recent uploads; for Instagram at followers, reach and engagement; for a WhatsApp Channel at its followers. We never judge a newsletter by its opens, which can’t be measured honestly.
Your panel shows each one’s status: Requires review, Getting ready, Needs attention (with the reasons) or Ready. We may review it again at any time, and stop ads or deals on it if it no longer meets these terms.
05Your first 60 days
For your first 60 days as a publisher:
- we cap how many ads your sites show;
- your earnings show as estimated;
- your first payout comes only after the 60 days and a clean review of your traffic, and your earnings wait an extra 30 days on top of the usual holdback (see Holdbacks).
There is no minimum amount of traffic.
06Placements, approval modes and blocks
A placement is a place on your website where ads can show. For each one you choose a format and size, its position on the page, a floor price, the most ads per page and how often they may show. Clickflox gives you a tag to paste into your page.
Approval modes
You choose an approval mode for each placement:
- Auto. Any approved campaign that passes your rules can show. It fills best, so it is the default.
- Auto + veto. New advertisers show straight away and land in your review queue. Block any of them within 24 hours.
- Approve first. New advertisers wait for your yes. A request lapses after 72 hours and is never approved for you; the slot shows other approved campaigns meanwhile.
- Only my picks. Only campaigns you picked yourself from the campaign marketplace can show.
Auto is the default, and all four modes are in your panel.
Blocks and safety
- You can block advertisers, categories, keywords and single ads, for one site or your whole account. Blocks take effect within minutes.
- Sensitive categories, such as alcohol, crypto and dating, stay off until you switch them on.
- You choose whether to accept only campaigns rated High for safety, or High and Medium.
Within your rules, Clickflox chooses which eligible ad shows. Clickflox reviews every ad and landing page before it can show; if you see one you think breaks these rules, report it and we will look at it.
Your site’s privacy policy must say that it shows ads from third parties, including Clickflox.
07Prohibited content and formats
Your sites must not carry, and the network does not accept ads for:
- adult content;
- gambling and online money games;
- weapons, drugs, tobacco and vaping, and surrogate ads for them;
- malware, fake alerts and tech-support scams;
- payday loans, binary options, and unregulated crypto and forex;
- fake news, hate, and copyright or trademark infringement;
- “You won” schemes and other scams;
- political ads (not at launch).
Alcohol where it is legal, crypto, and health or finance claims are allowed in ads only after extra checks.
Formats
The network never serves these formats, and you must not use Clickflox ads with them:
- pop-ups, pop-unders and on-click redirects;
- push notifications and in-page push;
- ads that imitate a chat message or a call;
- prestitials with a countdown, video that plays with sound on its own, flashing ads, full-screen scrollovers and auto-refresh;
- fake buttons and fake system dialogs;
- anything that gets around a visitor’s ad blocker.
Don’t change, cover, hide, stack or shrink Clickflox ads, remove their “Sponsored” label, or put the tag in pop-ups, auto-refreshing slots or pages without real content.
Creator posts
When you take a campaign in the marketplace for a newsletter or channel:
- Label the post clearly as paid, with the label the offer asks for or the platform’s own, for example “Paid partnership” on Instagram, “Includes paid promotion” on YouTube, “Sponsored” in a newsletter or #ad on WhatsApp. Posts follow ASCI and CCPA rules in India and FTC rules in the United States.
- If the offer asks for it, the advertiser approves your draft before you publish.
- Use the Clickflox link the deal gives you, so clicks are counted and leads can be verified.
- Publish within the days the offer sets, then send the proof: the post’s address, or a screenshot where we can’t check the address. We check the post on your connected account or its public page.
- Keep it up for the live period the offer sets. We check it during that time; a flat fee is not paid for a post that comes down early. You can dispute a check you think is wrong, and a person decides.
08Invalid traffic
Invalid traffic is any view or click that does not come from a real person’s genuine interest. It includes:
- clicking your own ads, or asking anyone else to;
- paying or rewarding people for views or clicks;
- bots, scripts, autosurf, click farms or pop traffic;
- hiding, stacking or shrinking ads so nobody can really see them;
- putting the tag in pop-ups, auto-refreshing slots or pages without real content.
We filter known bots, data-centre traffic, hidden slots and similar traffic before anything is counted, and check traffic again afterwards. Filtered or invalid traffic is never paid. If we find invalid traffic after earnings were estimated or finalized, we remove it from your earnings, or take it off future earnings if it was already paid, and list the reason. Your panel shows each site’s traffic as gross, filtered and net.
If we find a problem
- A warning.
- A serving limit, for up to 30 days.
- The placement or site is switched off until it is reviewed.
- Your account is suspended and payments are put on hold.
- Termination. Earnings for invalid traffic are not paid, and advertisers are credited for it; earnings for valid traffic are paid to you after a holdback.
We usually go one step at a time, but serious cases, such as deliberate fraud, may go straight to a later step. You can appeal once: reply to our notice with your evidence, a person reviews the decision again, and we tell you the outcome.
09Your earnings
Your rates
For websites, where ads are served by the Clickflox tag, Clickflox pays you 70% of the advertiser spend on your placements. For creator deals in the campaign marketplace, you earn 85%, and each offer shows its price, the Clickflox fee and what you earn before you claim it. A creator deal pays a flat fee once the post has stayed up for its live period, or a price for each valid click on your Clickflox link; never for opens.
Advertiser spend means what advertisers are charged for ads on your placements and for your creator deals, excluding taxes, refunds and credits for invalid traffic. There are no other fees or deductions, apart from tax we must deduct by law. These rates are planned and will be confirmed in the final version of these terms.
We don’t promise any number of ads, fill rate or level of earnings.
How earnings move
- Estimated: live, as ads show. Estimates can go up or down.
- Finalized: the month is closed and its invalid traffic reviewed, by the 5th of the next month.
- Payable: the holdback is over, your KYC is done and your payable balance has reached ₹1,000.
- Processing: the payout is on its way to your account.
- Paid: the payout has reached your account.
Earnings can also be rejected, for example for invalid traffic or a lead the advertiser rejects with a reason within its review window, or reversed when we find a problem after they were finalized. A negative adjustment is taken off your future earnings. Every deduction is listed in your panel by type.
10Holdbacks
Before earnings become payable they wait a holdback, so that late checks can finish:
- Per click (CPC) and per thousand impressions (CPM): 7 days;
- Per lead: 30 days;
- Per sale: 45 days;
- during your first 60 days: an extra 30 days.
If we hold a payment for any other reason, your panel shows the hold and its reason.
11Payouts and KYC
- When. Monthly. We finalize each month’s earnings by the 5th of the next month and pay what is payable by about the 25th, about 30 days after the month ends.
- How. In Indian rupees, by IMPS, NEFT or UPI, through a payout provider, to a bank account or UPI ID in your name or your business’s name.
- Minimum. ₹1,000. A smaller payable balance rolls over to the next month. We never take earnings away because they are small or old.
- KYC before your first payout. Your PAN, with a name that matches your account; a bank account we check with a small test deposit, or a UPI ID we verify; and your GSTIN if you are registered for GST. You don’t need these to sign up, only before we pay you.
- Outside India. If you live, or your business is registered, outside India (the United States for now), we pay in US dollars by SWIFT transfer from our bank in India, in the same monthly cycle, to a bank account in your name or your business’s name. Your earnings are recorded in rupees and converted on the payout day at the rate we record with its source, such as the RBI reference rate; your statement shows the rate. The minimum is $100 equivalent, and a smaller payable balance rolls over. Banks’ fees are shared unless we say otherwise, so your bank or a bank in between may take a fee from the amount.
- KYC outside India. Before your first payout: Form W-9 if you are a US person, or Form W-8BEN (Form W-8BEN-E for a business) if you are not, with your taxpayer number; and your bank’s SWIFT code and, for a US account, its routing number. We screen against sanctions lists.
- Test mode outside India. Payouts outside India run in test mode until our legal and tax review is done: your earnings are recorded as usual, but no money moves yet. We will tell you before the first real payout, and these terms will change if the review requires it.
12Tax
- TDS. For publishers in India, we deduct tax at source (TDS) where the Income-tax Act, 2025 requires it, at the rate that applies to the kind of payment. Without a valid PAN the law sets a higher rate, at least 20%. You get TDS certificates, and your panel shows the tax deducted from each payout.
- GST. If you are registered for GST, you send us a GST invoice for your earnings each month or, with your consent, we prepare it for you. Add your GSTIN to your account.
- Outside India. Indian law may require us to withhold tax from payments to non-residents. We withhold it at the rate that applies, or at a lower tax-treaty rate if you give us a valid tax residency certificate and Form 10F that we accept, and your panel shows the tax withheld from each payout. We make the filings Indian law requires before money is sent abroad (Forms 15CA and 15CB, or the forms that replace them). Any GST on these services is paid by Clickflox under reverse charge, not taken from your payout.
- You are responsible for your own income tax and any other tax on what you earn.
13Suspension and termination
You can stop at any time: remove the Clickflox tag and the ads.txt line, and close your publisher account or write to us. We pay earnings that become payable under these terms, after the usual holdbacks and checks. There is no exclusivity, so you can work with other ad networks at the same time.
We may limit, suspend or close a placement, a site or your account under the steps in Invalid traffic, or straight away if you seriously break these terms, for example by fraud, prohibited content or false details. Where we can, we will tell you why and give you a chance to put things right first.
When an account closes, earnings for valid traffic are paid after the holdback. Earnings for invalid traffic are not paid, and advertisers are credited for it.
14Changes to these terms
This is a draft, and it will change before the network launches. When we publish the final version, we will show it to you and ask you to accept it before your placements show paid ads.
After that, we will tell you about changes by email or in your panel at least 30 days before they take effect, unless a change is needed sooner for legal or security reasons. A change to your rates never applies to earnings already made. If you don’t agree with a change, you can stop before it takes effect. We keep every version of these terms with a list of what changed.
